Entertainment and Miscellaneous Staff: Adequate staffing in security, bar, management and production departments will be provided. Renter is responsible for staffing costs in addition to baseline levels required by the event. Venue will be set up with basic preset lighting for the stage and room, basic DJ equipment and video set ups. Renter shall furnish at their sole expense a DJ and/or any other act(s) that it deems necessary and appropriate. If applicable, renter is responsible for furnishing all requests pertaining to incoming artist(s) needs. Food Service: Our venue acknowledges and approves of food being served by outside food vendors to guests for consumption on property, but is not liable for any food borne illnesses caused by Renters contracted food vendors. We will provide overarching San Francisco Fire Department Event Permit for Sterno use from hired food vendors. Venue’s Right of Entry: In permitting Renter to use Venue, our venue does not relinquish and does hereby specifically retain the right to enforce all necessary and proper rules for the management and operation of Venue. A duly authorized representative of Venue will be at the Venue at all times during the Event and will open, close and supervise Renters use of the building and its equipment. This representative shall be vested with final decision making authority with regard to any issues or disputes. Publicity and Advertising: Renter is responsible for arranging all publicity and advertising which it deems appropriate to promote the Event. We acknowledge and agree that Renter advertising and promotion will include our venue name, logo, location and/or photographic image. Responsibility of Renter: Renter will use the venue in a careful and proper manner and will not permit the venue to be operated or used in violation of any applicable federal, state, or local statute, ordinance, rule or regulation relating to the possession, use or maintenance of the property. Renter agrees to reimburse in full for damage to the venue arising from any negligence or willful misconduct by Renter, its employees, invitees, licensees and/or agents. Renter will indemnify and hold us harmless from any liabilities, forfeitures, or penalties for violations of any federal, state or local statute, rule or regulation by Renter, it’s employees, invitees, licensees, and agents. Insurance: We shall, at its sole cost and expense, procure and maintain, as applicable, in full force and effect, comprehensive general liability insurance insuring coverage against loss, damage and liability for injury or death to persons, and los of or damage to property, occurring in connection with Renters use of the Venue. Liability Assumed by The Parties: Each Party assumes all risk and liability for any loss of or damage to equipment, the death of or injury to any person or property, and all other risks and liabilities (each a “Liability”) arising from the use of the venue by either Party, which Liability arises due to said Party’s negligence or willful misconduct. Force Majeure: Neither Party will be liable for any failure or delay in performing an obligation under this Agreement that is due to any of the following causes, to the extent beyond its reasonable control: acts of God, accident, riots, war, terrorist act, epidemic, pandemic, quarantine, civil commotion, breakdown of communication facilities, breakdown of web host, breakdown of internet service provider, natural catastrophes, governmental acts or omissions, changes in laws or regulations, national strikes, fire, explosion, generalized lack of availability of raw materials or energy. Renter Indemnification: Renter will indemnify, defend and hold harmless our venue, it’s agents and employees from all claims, loss or damage our venue may sustain or suffer for any of the following reasons, unless caused due to the negligence or willful misconduct of our venue: - Loss or damage to the venue; - Injury to or death of any person, including, but not limited to, agents, invitees, licensees or employees of Renter; or - Damage to any property arising from the use of the venue. Renter will reimburse our venue for all expenses, losses, liabilities, and claims of any type, including reasonable attorney fees, imposed on or incurred by our venue because of Renters use or operation of the venue, which does not arise due to the negligence or willful misconduct of our venue
