A. DEFINITIONS AND DATE IN FORCE: This Agreement is between the party renting the conference room or its authorized agent (hereinafter referred to as "Lessee" and host.. (hereinafter referred to as the "Lessor" beginning with the date specified on this document and continuing until a date agreed upon in advance by the Lessor and Lessee (hereinafter referred to as the "Rental Period") with regards to the conference room. B. LENGTH OF AGREEMENT: This Agreement shall be in force for the entire period of time that the conference room and equipment is under the control of the Lessee and/or on the premises or premises designated by the Lessee whether or not the Rental Period has ended. The ending date of the Agreement shall be as specified initially by the Lessee to the Lessor and shall be extended at the sole discretion of the Lessor. C. OWNERSHIP: Host shall retain ownership to all equipment. The Lessee shall make no efforts to dispose of the equipment nor use the equipment as collateral or chattel. At no time will the rental prices accrue toward the purchase of the equipment without the written consent of the Lessor. D. LOCATION: The equipment shall be kept at the premises to which it was delivered by Lessor for the entire Rental Period and shall not be moved without the express written permission of the Lessor. E. DAMAGE: Lessee agrees to accept all responsibility for any and all damage to the conference room or loss of any and all of the equipment during the Rental Period. F. ACCEPTANCE: The acceptance of the return of the equipment is not a waiver by Lessor of any claims that it may have or subsequently bring against the Lessee. Acceptance of the equipment by the Lessee acknowledges that the equipment is in good condition and repair. G. AIR CONDITIONING: A/C will be run during normal operating hours (9AM-9PM) as needed. H. INTERNET: All devices physically connected into the host facility network(s) must be approved and installed by host. Any device found on the network without prior approval may be removed without notice. All rental edit suites and offices shall be equipped with up to 25Mbps up/down connection speeds however speeds may vary and are not guaranteed. I. EQUIPMENT: Host is not liable for the loss, theft, or damage to any equipment brought on to or in to the premises by lessee. • No space heaters are allowed • No portable A/C units • No candles • No open flames J. INSURANCE: Lessee agrees to provide or procure insurance to protect the conference room and equipment from all mishaps, damage, theft or other situations, which may decrease the value of the equipment. In the case of a deductible portion of the insurance the Lessee agrees to be responsible for this expense. K. EVIDENCE OF INSURANCE: Evidence of the insurance coverage required to be maintained by the Lessee, represented by Certificates of Insurance issued by the insurance carrier or its legal agent, must be furnished to Lessor prior to release of rented equipment / space and not later than five (5) days after receipt of this Agreement. For the term of this Agreement, new Certificates of Insurance shall be provided to lessor prior to the current certificate(s) coverage termination date. Such Certificates of Insurance shall specify: a. Lessor as a Certificate Holder with correct mailing address; b. Insured's name, which must match that on this Agreement; c. Insurance companies affording each coverage, policy number of each coverage, policy dates of each coverage, all coverage's and limits described herein, and signature of authorized representative of insurance company; d. Producer of the certificate with correct address and phone listed; e. Aggregate limits per project required by this Agreement; f. Additional insured status required by this Agreement; g. Waivers of subrogation required by this Agreement; h. Amount of any deductibles and/or retentions; L. ALTERATIONS: Lessee agrees not to make any alterations, additions or improvements to the conference room or equipment without the written consent of the Lessor. M. DEFAULT: Upon the Lessee's default or breach of any provision or upon the happening of any event expressed in this document, Lessor shall have, in addition to all legal remedies available, the right to take possession of the conference room and any or all of the equipment without notice. Lessee hereby waives any and all damages caused by said taking and shall pay all Lessor's expenses incurred in exercising any rights or remedies with regard to equipment rented. N. WARRANTY: Lessee acknowledges and agrees that Lessor makes no warranty express or implied regarding the equipment's fitness for any purpose. The Lessee agrees and acknowledges a previous understanding of the purpose, fitness of and operation of the equipment. It shall not be the Lessor's responsibility to educate the Lessee with regard to the operation of the equipment. Lessor cannot be responsible for the Lessee's failure to operate the equipment properly. Lessor shall not be liable for consequential damage such as compensation payable to personnel caused by malfunctioning or inoperability for any reason of the equipment. In the event of perceived equipment failure, Lessee must notify Lessor immediately and be acknowledged by an authorized agent of the Lessor by writing, such as fax, email, and/or letter. Lessor shall not be responsible for malfunctions reported after termination of the Rental Period. All liabilities for damage to the Lessee's property or failure of the Lessee to complete his purpose for renting the equipment shall be limited to the replacement of blank raw videotape in the same quantity of which was damaged or purported to be such. O. BANKRUPTCY: Neither this Rental Agreement nor the equipment is assignable or transferable by operation of law. If any proceeding under the Bankruptcy Act as amended is commenced by or against Lessee, or if the Lessee is adjudged insolvent, or makes any assignment for the benefit of his creditors, or if a writ of attachment or execution is levied on any item of the equipment and is not released or satisfied within ten days thereafter, or if a receiver is appointed in any proceeding or action to which the Lessee is a party with authority to take possession or control of any item or items of equipment, the Rental Period shall immediately terminate and the equipment shall be returned to the Lessor immediately. Lessee agrees to place Lessor ahead of all others, as is allowable by law, for payment of Lessor's invoice. P. No smoking
