1. Services Provided
We offer access to shared office spaces, internet, and other facilities as detailed in the booking you selected (“Services”). The exact details of the services provided will be confirmed in your booking.
2. Booking and Access
• 2.1 Booking: The booking, including the specific rights and access granted (e.g., dedicated desk, private office, meeting room usage), will be detailed in your booking.
• 2.2 Access Hours: Access to the shared office space is available during regular office hours unless otherwise specified in the booking. No Extended hours are available.
• 2.3 Access Time Window: Access to the common areas of the office space is permitted from 10 minutes before the scheduled booking time and up to 10 minutes after the scheduled booking time. No access outside of this time frame is allowed.
3. Reservation, Payment, and Cancellation Policy
• 3.1 Reservation and Payment: Payment for the full reservation must be made in advance to confirm your booking. The reservation is considered confirmed only once payment is received.
• 3.2 No Cancellation and No Refund Policy: Once the reservation has been made and payment is received, the reservation cannot be canceled, rescheduled, or refunded under any circumstances.
• 3.3 No Rescheduling: Reservations cannot be rescheduled. Once the reservation time is confirmed, no changes to the date or time are permitted.
4. Use of Space
• 4.1 Purpose: The Office Space is provided for professional and business use only. You agree to use the Office Space in a manner consistent with a professional working environment.
• 4.2 Prohibited Uses: You may not use the Office Space for illegal activities, offensive behavior, or activities that cause disruption to other Members. Smoking is not allowed in and around the premises.
• 4.3 Noise and Conduct: Members are expected to maintain a quiet and professional environment. If you or your guest(s) talk, laugh, or create noise above 65 decibels (dB), you will be asked to leave the office space immediately. There will be no refund issued in such cases.
• 4.4 No Equipment or Furniture: Members/Clients are not permitted to bring any equipment, furniture, or property into the shared office space unless specifically authorized in writing by the Provider. You are not allowed to staple or stick tapes on the wall.
5. Room Availability and Substitution
• 5.1 Unavailability of Reserved Room: In the event that the room you reserved becomes unavailable for any reason (e.g., maintenance, double booking, late check out or unforeseen circumstances), the Provider reserves the right to offer a different, available room for the same booking time.
• 5.2 Client’s Option for Refund: If the Client does not wish to accept the alternative room offered, the Client may request a full refund of the booking amount. Refunds will be processed within 7 days of the request.
• 5.3 Limitation of Liability: The Client acknowledges and agrees that they will not hold the Provider liable for any loss, inconvenience, or damages arising from the unavailability of the reserved room. The Client further agrees that they will not take legal action against the Provider for any inability to use the originally reserved room.
6. Termination
• 6.1 Termination by Member: You may not terminate this Agreement once the reservation has been made and payment is processed. All reservations are final and non-refundable.
• 6.2 Termination by Provider: We reserve the right to terminate this Agreement immediately if you violate any of these terms and conditions or engage in behavior that is disruptive or harmful to other Members or the Provider’s operations.
• 6.3 No Refunds: No refunds will be issued in the event of cancellation, rescheduling, or early termination of the reservation.
7. Liability and Insurance
• 7.1 Member’s Responsibility: You are responsible for any damage caused to the Office Space or any property belonging to the Provider or other Members. The Member agrees to hold the Provider harmless for any injuries, losses, or damages that occur on the premises.
• 7.2 Insurance: The Provider does not provide insurance for your equipment or property. We strongly encourage you to maintain appropriate insurance coverage for your property and business activities.
8. Privacy and Confidentiality
• 8.1 Privacy of Other Members: You agree to respect the privacy of other Members and not disclose or misuse any confidential information you may come across while using the Office Space.
• 8.2 Data Protection: We will take reasonable steps to protect your personal data in accordance with applicable privacy laws. Your information will be used solely for administrative and business purposes related to your use of the Office Space.
9. Equipment and Property
• 9.1 Member’s Equipment: You are responsible for the safe use and storage of your own equipment. The Provider is not responsible for any loss or damage to your personal equipment.
• 9.2 Office Equipment: You agree to use any shared equipment (e.g., microwave, coffee machine, printer, etc.) in a manner consistent with normal usage and to follow any instructions for use.
10. Maintenance and Repairs
The Provider will maintain the shared office space in good condition. However, Members are responsible for reporting any issues or required repairs promptly. The Provider will address repairs within a reasonable time frame.
11. Room Vacating Policy and Penalty
• 11.1 Vacating the Room: Members/Clients are required to vacate the room allocated to them before the expiry of the allotted time. Failure to do so may incur additional charges.
• 11.2 Late Charges: If the Member fails to vacate the room on time, a charge of $20 will apply for the first 10 minutes, and $1 per minute will be charged after the first 10 minutes till vacated.
• 11.3 Condition of Room: The Member/Client is responsible for leaving the room in the same condition they received it. Failure to do so may result in additional charges for cleaning or damage repair.
12. Parking Policy
• 12.1 Free Parking: Free parking is available on the premises for Members/Clients.
• 12.2 Parking Availability: The Provider is not responsible for the availability of parking spots. Availability is on a first-come, first-served basis.
• 12.3 Parking Liability: The Provider is not liable for any damages to vehicles parked on the premises. Members/Clients park their vehicles at their own risk.
• 12.4 Parking Duration: Permission to park on the premises is only valid for the duration of your booking. Parking is not permitted before or after the booking time.
13. Damages and Responsibility
• 13.1 Member Responsibility: The Member/Client is responsible for any damage caused to the allocated room or any common areas by themselves or their guests.
• 13.2 Damage Repair: In the event of damage, the Member/Client must cover the cost of replacing the damaged item with a new one of equal or greater value, as determined by the Provider.
14. Modifications to Terms
The Provider reserves the right to modify these terms and conditions at any time. Any changes will be communicated to Members via email or notice within the office space. Continued use of the Office Space after such changes constitutes your acceptance of the new terms.
15. Governing Law
This Agreement will be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles. Any disputes arising under this Agreement will be subject to the exclusive jurisdiction of the courts in Mississauga(GTA), Ontario.
16. Miscellaneous
• 16.1 Force Majeure: Neither party shall be liable for any failure to perform its obligations due to unforeseen circumstances, including but not limited to natural disasters, pandemics, or other events beyond their reasonable control.
• 16.2 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remainder will remain in full effect.
